Payment terms for our Services will be outlined in your specific Service Agreement. Unless otherwise specified, invoices are due upon receipt. Late payments may be subject to interest charges as specified in your Service Agreement or applicable law.
All content, trademarks, logos, and other intellectual property displayed on our website or used in connection with our Services are the property of Celestix Communications or its licensors. You may not use, reproduce, distribute, or create derivative works from any of our intellectual property without our express written consent.
To the fullest extent permitted by law, Celestix Communications shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorized access, use, or alteration of your transmissions or content.
You agree to indemnify and hold harmless Celestix Communications, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
